Game Locker Conditions of Sale

These Conditions of Sale (Sale Contract) govern each sale of a product between a Buyer and a Seller on the Game Locker Marketplace (Marketplace). Game Locker is not a party to this Sale Contract, only the relevant Buyer and Seller are.

Your relationship with Game Locker as a user of the Marketplace is in the Game Locker Marketplace Terms; Game Locker provides the Marketplace platform and is a limited payments collection agent for the Seller only.

In this Sale Contract, a reference to “Seller” is the person who is selling the item in the Marketplace, and a reference to “Buyer” is a reference to the person buying it (i.e. the person who has placed an order for it) in the Marketplace. This Sale Contract applies separately to each item ordered.

1. Placing an order

1.1 Offer. When a Buyer places an order for item(s) in the Marketplace (Items) it constitutes an offer to buy the relevant Item(s) from the Seller, at the price listed and shown at checkout in the Marketplace, on and subject to this Sale Contract (Order).

1.2 Cancellation by Seller. An offer may be declined by the Seller if the Items are unavailable, the Seller is unable to fulfil it, there was an obvious typographical error in the listed price for any Item, or if payment was not successfully processed for it.

1.3 Cancellation by Game Locker. Game Locker may decline to process or may cancel an Order in some circumstances, e.g. if it reasonably suspects fraud or obvious errors in the Item listing price. Such action does not make Game Locker a party to this Sale Contract; it is only an exercise of Game Locker’s rights under the Game Locker Marketplace Terms.

1.4 Refunds. If an Order is cancelled or declined by the Seller or Game Locker, the Buyer will receive a full refund.

2. Forming a sale contract

2.1 Contract formation. The Order becomes a legally binding contract between Buyer and Seller on these Sale Contract terms when confirmed by the Seller. The Seller may confirm the Order in the Marketplace by notifying the Buyer that any Item in the Order has been dispatched, is ready for collection (for click-and-collect orders) or is being prepared for dispatch.

2.2 Order lapse. If the Seller does not confirm an Order within two [2] business days (in Victoria, Australia) of the Order, the Order lapses. The Seller must refund the Buyer in full for any lapsed Order (payment will be processed on Seller’s behalf by Game Locker and its payment processors).

2.3 Cancellations. A Buyer may be able to cancel an Order via the Marketplace any time before a binding contract is formed under clause 2.1. Once the contract is formed, neither party may cancel or modify it (unless both parties agree). Once the Order has been confirmed under clause 2.1, neither party may attempt to cancel or modify the price of the Order based on a perceived or actual change in the market value of the Order.

3. Price and payment

The price payable is the price shown at checkout, plus any shipping or handling charges and GST shown at checkout. The Buyer must pay through the Game Locker checkout using an accepted payment method; click-and-collect orders must be paid for before collection.

4. Delivery, click-and-collect, and risk

4.1 Delivery and collection. The Seller must arrange delivery or click-and-collect in accordance with the Buyer’s selection at checkout. For general information about delivery and collection arrangements in the Marketplace, refer to the Shipping, Refunds & Returns Information.

4.2 Click-and-collect. For click-and-collect Orders, the Seller must notify the Buyer when the Item is ready and the time frame (of no less than 7 days) within which the Buyer must collect it. The Seller or its agent may require the Buyer to show identification, the Order confirmation or another reasonable form of identification in order to collect the Item. If the Buyer fails to collect the Item within the notified time frame, the Seller may cancel the Order and refund the Buyer in full (refunds will be processed to the Buyer’s original payment method).

4.3 Risk. Risk in the Item passes to the Buyer on delivery or collection (as applicable). Title in the Item passes to the Buyer on full payment (to Game Locker as the Seller’s limited payments collection agent under the Game Locker Marketplace Terms.

5. Description, condition, returns and refunds

5.1 Seller responsibility. The Seller is solely responsible for ensuring that Items are accurately described in the Marketplace, including as to their condition, set, printing, language and other material characteristics. The Seller must deliver (or make available) Item(s) as described.

5.2 Order problems. If there is a problem with an Order (e.g. the Buyer receives an Item that fails to correspond to its description in the Marketplace, receives an incorrect Item or does not receive any Item ordered), the Buyer may be entitled to a return or refund in accordance with the Seller’s returns policy (the returns policy the Seller has published in the Marketplace at the date of the Order) (Seller Returns Policy), and applicable laws, including the Australian Consumer Law in Schedule 2 of the Competition and Consumer Act 2010 (Cth) and State-based equivalent legislation. The Seller and Buyer must comply with the applicable Seller Returns Policy and all applicable laws.

6. Liability

6.1 Limits. Subject to clause 6.2 (Rights preserved):

  • (a) neither party is liable to the other for indirect or consequential loss connected with an Order; and
  • (b) implied terms (including under State-based sale of goods legislation) are expressly excluded.

6.2 Rights preserved. The limitations in clause 6.1 (Limits) only apply to the extent permitted by applicable laws and do not exclude, limit or reduce the application of the Australian Consumer Law or the applicable Seller Returns Policy (see clause 5.2 (Order problems)).

7. General

7.1 Governing law. This Sale Contract is governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of its courts.

7.4 Severability. If a part of this Sale Contract is invalid or unenforceable, it is read down to the extent possible or if necessary, severed.

7.5 Notices. The Buyer and Seller will contact each other and issue any notices in relation to an Order via the functionality and contact details made available for that purpose in the Marketplace.

7.7 Entire agreement. The Sale Contract and Order details constitute are the entire agreement between the parties and replace any prior agreement, discussion or representation. This does not affect any agreement existing between a party and Game Locker (under the Game Locker Marketplace Terms).
