Game Locker Marketplace Terms

The Game Locker Marketplace (Marketplace) and website available at gamelocker.co (Website) are operated by Game Locker Pty Ltd (ABN 16 684 573 822) of 9/446 Collins St, Melbourne VIC 3000 (Game Locker, we, us). These Game Locker Marketplace Terms apply to anyone who accesses or uses the website or Marketplace (you), whether or not you create an account, buy or sell. Clauses which only relate to use of the Marketplace only apply when you use the Marketplace.
By accessing or using the Website or the Marketplace, or clicking to accept these Game Locker Marketplace Terms, you agree to these Game Locker Marketplace Terms. If you donât agree to them, you should not use or access the Website or the Marketplace.

1. Scope
1.1 Buyers and Sellers. A reference to a âSellerâ is a person who sells or intends to sell anything on the Marketplace. A âBuyerâ is someone who buys anything on the Marketplace.
1.2 Business Days. âBusiness Dayâ means a business day in Melbourne Victoria, Australia, i.e. a day that is not a Saturday, Sunday or public holiday in that location.
1.3 Business users.
- (a) If you access or use the Marketplace or accept the Marketplace Terms on behalf of a business or other entity, you represent that you have authority to bind that entity, in which case âyouâ in these Game Locker Marketplace Terms means that entity. If you donât have that authority, you are personally bound by the Marketplace Terms as if you were using the Marketplace for yourself.
- (b) If you are a business, you must ensure that everyone you authorise to access or use the Marketplace on your behalf (including your employees, contractors and agents) complies with the Marketplace Terms, and you are responsible and liable for their acts and omissions in connection with the Marketplace as if they were your own.
1.4 Marketplace Terms. These Game Locker Marketplace Terms apply together with the following terms, to the extent they apply to you. Whenever we mention âMarketplace Termsâ, we mean these Game Locker Marketplace Terms as well as all the applicable terms below:
- Buyer Terms: if you are a Buyer;
- Seller Terms and Seller Code of Conduct: if you are a Seller;
- My Locker Terms: if you use My Locker;
- App Terms: if you access the Marketplace or My Locker through our Mobile App; and
- our other policies referenced in the Marketplace Terms, including our Privacy Policy, Acceptable Use Policy and Shipping, Returns & Refunds Information (Policies).
1.5 Conflicts. If there is any inconsistency between these Game Locker Marketplace Terms and another part of the Marketplace Terms, the more specific document applies.
1.6 Conditions of Sale. The template Conditions of Sale contains the terms that govern the sale of any item between a Buyer and a Seller in the Marketplace. Game Locker is not party to any sale contract, which is between the relevant Buyer and Seller only.
2. Marketplace availability
We may change, suspend or discontinue the Marketplace or any feature of it at any time, but we will provide reasonable advance notice and enable you to complete any transactions already commenced.
3. Website
3.1 Information only. The Website provides information about Game Lockerâs trading card management and marketplace platforms, as well as other services, events and updates about Game Locker. It is provided for general information and promotional purposes only, and we may update it over time.
3.2 Third-party links. The Website may link to third-party websites. We donât control and are not responsible for those sites, their content, their availability or their privacy practices, and a link does not imply our endorsement of the site or its operators.
3.3 Cookies. We use cookies on the Website to improve your experience and to understand how the Website is used. See our Privacy Policy for details about cookies and how we handle your personal information.
4. Eligibility and accounts
4.1 Age. You must be at least 18 to create an account, or to buy or sell. If you are under 18, you may browse the Marketplace, but may only buy through an account operated by a parent or legal guardian.
4.2 Account holders. If you set up an account:
- (a) your account name must not be offensive, vulgar, or in breach of a third partyâs rights or the Marketplace Terms - we may require you to change an inappropriate name, or suspend your account until you do;
- (b) you must ensure information you give us is accurate and kept up to date;
- (c) you are responsible for keeping your account and password secure, and for all activity and payments made through your account; and
- (d) you must comply with all applicable laws when using the Marketplace, including holding any licences or permits you need.
5. Our role
5.1 Game Lockerâs role. Game Locker operates the Marketplace to let Sellers list and sell products to Buyers.
5.2 Sellerâs role. The Seller, and not Game Locker, is the seller of any item bought through the Marketplace, and is responsible for the sale. Game Locker is not a party to the contract of sale between a Buyer and a Seller (except as a limited payments collection agent for the Seller) as described in the Seller Terms and Conditions of Sale.
5.3 Listing accuracy. The Seller, and not Game Locker, publishes and is solely responsible for the accuracy of product, pricing, availability and shipping information on the Marketplace. We donât review it and donât guarantee it is accurate. (This doesnât limit any right you have if an item you buy isnât as described - you may have rights under the law, or under the Conditions of Sale or as described in the Shipping, Returns & Refunds Information.)
6. Marketplace integrity
You must act lawfully in using the Marketplace or the Website, comply with the Marketplace Terms and comply with our Acceptable Use Policy (as updated from time to time). You must not interfere with the operation or security of the Marketplace or the Website, or use either of them to distribute spam, malware or other harmful code. We may monitor activity in the Marketplace (including account, listing, order and payment activity) to detect fraud, abuse, breaches of applicable law and breaches of the Marketplace Terms (Prohibited Behaviour).
7. Intellectual property
7.1 Right to use the Marketplace and Website. Subject to your compliance with the Marketplace Terms, we grant you a personal, non-exclusive, revocable licence to access and use the Marketplace and Website, which we may suspend or revoke in accordance with these Marketplace Terms.
7.2 Content rights. Content on the Marketplace or the Website such as text, graphics and imagery, logos and trademarks and databases (including in relation to trading card games and card rating organisations) may belong to Game Locker or third parties (Marketplace Content). You must not use, copy or download Marketplace Content without written permission from the relevant rights owner. The appearance of Marketplace Content in the Marketplace or on the Website does not imply any third-party affiliation with or endorsement of Game Locker, or grant you any rights over Marketplace Content.
7.3 No scraping. You must not scrape, crawl or otherwise extract data (whether by automated means or otherwise) from the Marketplace or the Website, unless permitted by these Marketplace Terms or the intended use of functionality we make available in the Marketplace.
7.4 Feedback. If you submit feedback, Game Locker may use it to improve its website, products and services (without attributing or compensating you). If you submit ratings or reviews, you authorise and license Game Locker to publish them.
7.5 Trade marks. âGame Lockerâ, our logos and our product and service names are trade marks of Game Locker, whether registered or the subject of pending applications, in Australia and other jurisdictions. You must not use any of them, or any mark that is substantially identical or deceptively similar to them, without our prior written consent.
8. Suspension and termination
8.1 By you. You may close your account at any time using functionality within the Marketplace, or otherwise, stop using the Marketplace at any time at your discretion. Refer to our Privacy Policy for details about how we handle your personal information.
8.2 Action by Game Locker. We may take reasonable action to address actual or reasonably suspected Prohibited Behaviour (see clause 6 (Marketplace integrity)) or to protect the Marketplace, the Website and their users. This action may include:
- (a) limiting features, restricting orders or withholding payments (where permitted by under our Seller Terms);
- (b) editing or removing content; or
- (c) suspending or terminating accounts or access to the Marketplace or the Website.
If you believe your account has been suspended or restricted in error, you may contact Game Locker Customer Service for review. We will investigate our suspicions promptly and reinstate access where you are not found to have breached your obligations.
8.3 Survival. Provisions of the Marketplace Terms which by their nature should survive - including intellectual property, liability, and dispute resolution - continue to apply after your account ends.
9. Liability
9.1 Consumer law.
- (a) Nothing in the Marketplace Terms excludes, restricts or modifies any consumer guarantee, or any right or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or applicable law, that cannot lawfully be excluded, restricted or modified.
- (b) Buyers may have rights in relation to their purchases in the Marketplace under the Australian Consumer Law and the Conditions of Sale, and should refer to the applicable Seller Returns Policy (see Shipping, Returns & Refunds Information).
9.2 Liability limits. To the extent permitted by applicable law (and subject to clause 9.1), Game Locker excludes all other warranties and guarantees, and our liability to you for any loss connected with the Marketplace, the Website or the Marketplace Terms is limited to any remedy we have specified in the Marketplace Terms, or if one is not specified, then to:
- (a) resupplying the relevant service; or
- (b) to the total amount you have paid Game Locker (excluding any payments we collect on behalf of a Seller) in the last 12 months for our relevant service(s). This limit relates to your use of the Marketplace platform and does not limit a Sellerâs liability to you as a Buyer (or vice versa) under the Conditions of Sale.
9.3 Exclusions. We are not liable for indirect or consequential loss, loss of profits or revenue, loss of business, goodwill, data, anticipated savings, for business interruption, for the acts or omissions of Buyers, Sellers or other third parties, or for the Marketplace or the Website being unavailable, interrupted, or affected by errors, viruses or similar issues beyond our reasonable control.
9.4 Release. If you have a dispute with another user (including a Buyer or Seller), you release Game Locker from any claim connected to that dispute, except where the claim arises from our own breach of the Marketplace Terms or applicable law.
10. Indemnity
10.1 Your indemnity. You indemnify Game Locker against any third-party claim arising from your breach of the Marketplace Terms or your unlawful conduct in relation to the Marketplace or the Website (except to the extent that our breach of the Marketplace Terms or applicable laws caused it).
10.2 Our indemnity. We indemnify you against any third-party claim alleging that your permitted use of the Marketplace or the Website infringes that third partyâs intellectual property rights. This indemnity does not apply to any Marketplace content provided by Sellers or other users (including any Seller listings or products), or to any claim arising from your breach of these Terms or unlawful activity.
11. General
11.1 Changes. We may update the Marketplace Terms and the template Conditions of Sale from time to time. If you have an account, weâll give you reasonable notice of material changes (for example, by email or notice on the Marketplace) before they take effect. If you donât have an account, it is your responsibility to periodically check for updates. Your continued use of the Marketplace or the Website after a change to the Marketplace Terms constitutes your acceptance. If you donât agree to a change, you should stop using the Marketplace and the Website and if applicable, close your account. (Changes to the Conditions of Sale will only apply to future orders.)
11.2 Governing law. The Marketplace Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of its courts.
11.3 Assignment. We may transfer or novate our rights and obligations under the Marketplace Terms on notice, in connection with a sale or restructure of our business. You retain the right to cease using the Marketplace and close your account. If you are an individual, you cannot share or transfer your account. If you are a business and hold an account, you may transfer or novate your account and your rights and obligations under the Marketplace Terms with our prior consent, which we may withhold or condition reasonably, for example, to protect account security, verify your identity or prevent fraud.
11.4 Severability. If a part of the Marketplace Terms is invalid or unenforceable, it is read down to the extent possible or if necessary, severed.
11.5 Notices. We will generally contact you - including for formal notices - by email (if you have an account) or through the Marketplace. An emailed notice is treated as received 24 hours after sending, unless weâre told it wasnât delivered. Notices to us should be sent to support@gamelocker.com.au
11.6 No waiver. A failure or delay by either party in exercising a right under the Marketplace Terms is not a waiver of that right; no waiver is effective unless in writing.
11.7 Entire agreement. The Marketplace Terms are the entire agreement between you and Game Locker about the use and supply of the Marketplace and the Website, and replace any prior agreement, discussion or representation.
